These Terms of Service ("Terms") are a binding agreement between PerAnkh Limited (RC: 8992805) ("PerAnkh", "we", "us", or "our"), a company registered in Nigeria, and the school or institution ("Customer", "you", or "your") that licences and uses the sERP Nigeria school management platform ("the Platform" or "sERP").
PerAnkh Limited is the authorised Nigerian licensee for the sERP platform, which is developed and maintained by Darrel Technologies Ltd (Ghana).
Subject to full payment of the applicable licence fee and ongoing compliance with these Terms, PerAnkh grants you a non-exclusive, non-transferable, revocable licence to access and use the Platform solely for the internal administration of your school or educational institution in Nigeria.
The licence covers the number of campuses and student count tier agreed at the time of purchase. You may not sub-licence, resell, or permit third parties to use the Platform under your account without PerAnkh's prior written consent.
The initial licence fee covers the first year of access, cloud hosting, technical support, and software updates. From year two, continued access requires payment of an annual renewal fee. PerAnkh will notify you of renewal terms at least 30 days before your renewal date.
Failure to renew by the due date may result in suspension of access. Data is retained for 30 days after a lapsed subscription before secure deletion.
You agree to use the Platform only for lawful purposes and in accordance with these Terms. You must not:
You retain full ownership of all data entered into the Platform by your school ("Customer Data"), including student records, staff records, and financial data. PerAnkh processes Customer Data solely as a data processor on your instructions, as set out in our Privacy Policy.
On termination or cancellation, we will provide a full export of your Customer Data in SQL format within 7 business days of your written request. After the 30-day retention window, all Customer Data is securely deleted.
PerAnkh will use reasonable commercial efforts to keep the Platform available 24 hours a day, 7 days a week. Planned maintenance windows will be communicated in advance. We do not guarantee 100% uptime and are not liable for disruptions caused by factors outside our reasonable control, including internet service provider failures, NEPA/power infrastructure issues, or force majeure events.
All intellectual property rights in the Platform (including its design, codebase, and documentation) belong to Darrel Technologies Ltd and/or PerAnkh Limited. These Terms do not transfer any intellectual property rights to you. Your Customer Data remains your property.
All fees are quoted and payable in Nigerian Naira (₦). VAT at the applicable statutory rate (currently 7.5%) will be added to all invoices. Payment is due within 14 days of invoice unless otherwise agreed in writing. Late payments may attract a surcharge of 1.5% per month on the outstanding balance.
To the fullest extent permitted by Nigerian law, PerAnkh's aggregate liability to you under or in connection with these Terms shall not exceed the total fees paid by you in the 12 months preceding the event giving rise to the claim. PerAnkh shall not be liable for any indirect, consequential, special, or punitive losses, including loss of revenue, loss of data, or loss of goodwill.
You agree to indemnify and hold harmless PerAnkh Limited and its officers, employees, and agents from any claims, damages, fines, or costs (including legal fees) arising out of your use of the Platform in violation of these Terms or any applicable law.
Either party may terminate these Terms on 30 days' written notice. PerAnkh may suspend or terminate your access immediately and without notice if you breach any provision of these Terms, fail to pay fees when due, or if we are required to do so by law or court order.
These Terms are governed by the laws of the Federal Republic of Nigeria. Any dispute arising under these Terms shall be subject to the non-exclusive jurisdiction of the Nigerian courts.
PerAnkh may update these Terms from time to time. We will notify you of material changes by email and by posting the updated Terms on this page at least 14 days before the changes take effect. Continued use of the Platform after the effective date constitutes acceptance of the revised Terms.
